Disclosure Committee
Sun has established a Disclosure Committee which meets regularly to review and approve Sun's disclosure of financial and other material information.
The Disclosure Committee consists of Sun's:
- Vice President, Worldwide Field Finance
- Vice President Finance, Chief Accounting Officer
- Vice President, Corporate Law
- Vice President, Treasury and Investor Relations
- Vice President, Shareholder Value Finance
- Vice President, Internal Audit
Qualified Legal Compliance Committee
As recommended by the U.S. Securities and Exchange Commission's rules implementing Standards of Professional Conduct for Attorneys under the Sarbanes-Oxley Act of 2002, Sun's board of directors has established a Qualified Legal Compliance Committee (QLCC). Attorneys who are required by SEC rules to report evidence of a material violation of securities laws or breach of fiduciary duty may make such reports to the QLCC in lieu of reporting to Sun's management. Sun's Audit Committee currently also serves as the QLCC.
Internal Audit
Sun has established an Internal Audit team to provide the Audit Committee and Senior Management with an independent and objective assessment of the adequacy and effectiveness of Sun's internal control environment and bring a systematic, disciplined approach to evaluating and improving the effectiveness of risk management, control, and governance processes.
