Original Equipment
Manufacturer (OEM) |
"OEM Products" means final systems or products that: (i) Company manufactured or has manufactured exclusively for it, and supplies for sale or lease to third parties in the regular course of its business, (ii) include and are based on Company's hardware or software intellectual property, (iii) include Company-added hardware, (iv) permanently incorporate or embed Sun hardware Products (which may also include Software), and (v) have substantially different functional characteristics from any products or technologies offered by Sun.
The parties acknowledge that the object of Company's appointment as an OEM is to facilitate the purchase of Products for distribution as OEM Products. Accordingly, Company agrees to resell or otherwise remarket OEM Products to its End Purchasers. Products acquired under Company's OEM appointment must be marketed, sold and leased only as incorporated into OEM Products, focusing on the OEM-developed solution, not the Sun Products.
The only time a Sun Product may be distributed without the OEM Product is for spare parts or upgrades for the originally provided OEM Product.
In substantially all situations, Company does not require support from Sun's direct sales channel in the sale of the OEM Product to customers.

OEM Technology Provider |
"OTP Solutions" means systems, solutions or products that: (i) Company manufactured, or has manufactured exclusively for it and supplies for sale or lease to its customers (or third parties) in the regular course of its business; (ii) are developed as a result of Company's unique engineering experience and expertise in a particular industry or market; (iii) may have functional characteristics similar to Sun's Products, but that contain custom, specialized or enhanced functionality or features that are different from any Products or technologies offered by Sun at the time of sale; (iv) meet the applicable customer's specific requirements or specifications that Sun cannot otherwise meet through its own Products; and (v) permanently incorporate, bundle or embed Sun hardware Products. Notwithstanding the foregoing, simply integrating components with the Sun Products shall not satisfy subsections (iii) and (iv) above unless the customer is an authorized Sun OEM.

Channel Development Provider (CDP) |
CDPs provide a suite of defined services to their partners including market coverage and partner recruitment. The CDP may also provide order aggregation, inventory and logistics services. For Indirect OEMs, a CDP is the purchasing link to Sun's products and technologies.

PCN |
Product Change Notice. Sun recognizes that our OEMs need to receive timely notification when there is a change to our OEM products. Ask Sales Representative for details.

Extended Availability Program (EAP) |
Sun offers to extend product life cycles up to 24 months after last ship date. The Extended Availability Program offers Sun OEMs continued access to the Sun products and technologies required for their solutions.
