                <description>SANTA CLARA, Calif. - July 14, 2009 - Sun Microsystems, Inc. (NASDAQ: JAVA) reported preliminary results today for its fourth quarter of fiscal 2009, which ended June 30, 2009. 
Sun expects revenues for the fourth quarter of fiscal 2009 in the range of $2.580 to $2.680 billion, as compared with $3.780 billion for the fourth quarter of fiscal 2008.
Sun anticipates GAAP net loss per share for the fourth quarter of fiscal 2009 in the range of $(0.24) to $(0.34). On a non-GAAP basis, Sun expects net loss per share in the range of $(0.06) to $(0.16). Non-GAAP net loss per share excludes amortization of acquisition-related intangibles, stock-based compensation, restructuring and related impairment of long-lived assets, settlement income, net gain or loss on equity investments and the tax effect of these non-GAAP adjustments. 
Sun will not host a conference call in conjunction with fourth quarter results.                 <description>SANTA CLARA, Calif. - April 28, 2009 - Sun Microsystems, Inc. (NASDAQ: JAVA) reported results today for its third quarter of fiscal 2009, which ended March 29, 2009. 

Revenues for the third quarter of fiscal 2009 were $2.614 billion, as compared with $3.266 billion for the third quarter of fiscal 2008, and compared with $3.220 billion for the second quarter of fiscal 2009.  Total gross margin as a percent of revenues was 42.7, a decrease of 2.2 percentage points as compared with the third quarter of fiscal 2008 and an increase of 0.8 percentage points as compared with the second quarter of fiscal 2009.

Net loss for the third quarter of fiscal 2009 on a GAAP basis was $201 million, or $(0.27) per share on a diluted basis, as compared with a net loss of $34 million, or $(0.04) per share, for the third quarter of fiscal 2008, and compared with a net loss of $209 million, or $(0.28) per share, for the second quarter of fiscal 2009.  GAAP net loss per share includes a restructuring charge of $46 million primarily related to the restructuring announcement of November 2008.

On a non-GAAP basis, net loss for the third quarter of fiscal 2009 was $52 million, or $(0.07) per share on a diluted basis, as compared with a non-GAAP net income of $132 million, or $0.17 per share, for the third quarter of fiscal 2008, and compared with a non-GAAP net income of $114 million, or $0.15 per share, for the second quarter of fiscal 2009. Non-GAAP net income per share excludes purchased in-process research and development, amortization of acquisition-related intangibles, stock-based compensation, restructuring and related impairment of long-lived assets, net gain or loss on equity investments and the tax effect of these non-GAAP adjustments.

Sun ended the quarter with a cash and marketable debt securities balance of $2.990 billion and generated cash flow from operations for the third quarter of fiscal 2009 of $178 million – the third consecutive quarter of positive cash flow from operations in fiscal 2009, and following upon 19 consecutive years of positive cash flow from operations.

Third Quarter Highlights    

Grew billings nearly 4 percent year-over-year in combined key growth categories of Total Software, Open Storage, SolarisTM-based SPARC&#174; CMT Servers, and X64 Servers.

- Combined key growth categories accounted for 40 percent of total billings in the third quarter of fiscal 2009 versus 30 percent in the third quarter of fiscal 2008.

- Total Software billings grew 28 percent year-over-year.

- Open Storage billings grew 63 percent year-over-year.

- Solaris-based SPARC CMT Servers billings grew 3 percent year-over-year.

Reduced R&amp;D and SG&amp;A expenses nearly 15 percent year-over-year.

                <description>SANTA CLARA, Calif. - January 27, 2009 - Sun Microsystems, Inc. (NASDAQ: JAVA) reported results today for its second quarter of fiscal 2009, which ended December 28, 2008.

Revenues for the second quarter of fiscal 2009 were $3.220 billion, a decrease of 10.9 percent as compared with $3.615 billion for the second quarter of fiscal 2008, and an increase of 7.7 percent as compared with $2.990 billion for the first quarter of fiscal 2009. Total gross margin as a percent of revenues was 41.9, a decrease of 6.6 percentage points as compared with the second quarter of fiscal 2008 and an increase of 1.7 percentage points as compared with the first quarter of fiscal 2009.

Net loss for the second quarter of fiscal 2009 on a GAAP basis was $209 million, or $(0.28) per share on a diluted basis, as compared with a net income of $260 million, or $0.31 per share, for the second quarter of fiscal 2008, and compared with a net loss of $1.677 billion, or $(2.24) per share, for the first quarter of fiscal 2009. GAAP net loss per share includes a restructuring charge of $222 million primarily related to the restructuring announcement of November 2008.

On a non-GAAP basis, net income for the second quarter of fiscal 2009 was $114 million, or $0.15 per share on a diluted basis, as compared with a non-GAAP net income of $409 million, or $0.50 per share, for the second quarter of fiscal 2008, and compared with a non-GAAP net loss of $65 million, or $(0.09) per share, for the first quarter of fiscal 2009. Non-GAAP net income per share excludes purchased in-process research and development, amortization of acquisition-related intangibles, stock-based compensation, restructuring and related impairment of long-lived assets, impairment of goodwill, net gain or loss on equity investments and the tax effect of these non-GAAP adjustments.

Sun ended the quarter with a cash and marketable debt securities balance of $3.008 billion and generated cash flow from operations for the second quarter of fiscal 2009 of $36 million.

Second Quarter Highlights

    * Grew billings at double-digit rates year over year in key growth categories, which accounted for more than one-third of total products billings in the second quarter of fiscal 2009 versus 23 percent in the second quarter of fiscal 2008:
          o The category of Solaris-based Chip Multi-Threading systems grew 31 percent year over year, and is now at an approximately $1.4 billion annual run rate, based on first and second quarter fiscal 2009 results.
          o The category of Total Software grew 21 percent year over year, and is now at an approximately $600 million annual run rate, based on first and second quarter fiscal 2009 results.
          o The category of X64 servers grew 11 percent year over year, and is now at an approximately $700 million annual run rate, based on first and second quarter fiscal 2009 results.
          o The category of Open Storage grew 21 percent year over year, and is now at an approximately $100 million annual run rate, based on first and second quarter fiscal 2009 results.
    * Increased products gross margin 4 percentage points sequentially, primarily due to lower component costs, disciplined pricing and discounting, and a slightly positive mix impact.
    * Launched the flash-based, Sun Storage 7000 family (Amber Road) in November 2008, built upon the popular ZFS file system. Download ZFS here: www.solaris.com/get.
    * Announced a restructuring initiative in November 2008 that is expected to reduce total costs by $700-800 million annually; most of this benefit is expected to be realized in fiscal 2010.

Revenues for the first quarter of fiscal 2009 were $2.990 billion, a decrease of 7.1 percent as compared with $3.219 billion for the first quarter of fiscal 2008. Total gross margin as a percent of revenues was 40.2, a decrease of 8.3 percentage points, as compared with the first quarter of fiscal 2008. 

Net loss for the first quarter of fiscal 2009 on a GAAP basis was $1.677 billion, or $(2.24) per share on a diluted basis, as compared with a net income of $89 million, or $0.10 per share, for the first quarter of fiscal 2008. GAAP net loss per share includes a $1.445 billion non-cash charge for goodwill impairment. It also includes a restructuring charge of approximately $63 million pursuant to the restructuring that commenced in the fourth quarter of fiscal 2008.  

On a non-GAAP basis, net loss for the first quarter of fiscal 2009 was $65 million, or  $(0.09) per share on a diluted basis, as compared with a non-GAAP net income of $285 million, or $0.32 per share, for the first quarter of fiscal 2008.  Non-GAAP net loss per share excludes amortization of acquisition-related intangibles, stock-based compensation, restructuring and related impairment of long-lived assets, the goodwill impairment charge, net gain on equity investments and the tax effect of these non-GAAP adjustments. 

Sun ended the quarter with a cash and marketable debt securities balance of $3.121 billion and generated cash flow from operations for the first quarter of fiscal 2009 of $148 million.

First Quarter Highlights
Sun reported 83 percent year-over-year billings growth in its Solaris-based Chip Multi-Threading systems as customers continued to demand the nearly 10,000 applications available for Solaris 10, while enjoying integrated virtualization and exceptional power efficiency.

Sun&#039;s Solaris-based Open Storage product line continued to see aggressive growth during the quarter as the adoption of ZFS - the most advanced file system available in the open source community – and open systems continue to be ever more critical for addressing customer pain points in today&#039;s challenging economic environment.   

Sun reported 12 percent year-over-year revenue growth in the Emerging Markets region, with India, Latin America and a combined Russia, Middle East and Africa geography growing double digits year-over-year.   

Sun announced a new version of Sun xVM VirtualBox as well as xVM VirtualBox Software Enterprise Subscription, offering 24/7 premium support for enterprise users. Sun xVM VirtualBox also surpassed 6.5 million downloads worldwide and 15,000 downloads per day. 

Sun partnered with Fujitsu on a new enhanced line of SPARC Enterprise servers that deliver a virtualization and consolidation platform with up to 80 percent better performance on commercial applications and 2x better performance on HPC workloads and using 44 percent less energy per core.

Goodwill Impairment Analysis
Based on a combination of factors, including the current economic environment, Sun&#039;s operating results, and a sustained decline in Sun&#039;s market capitalization, the Company concluded that there were sufficient indicators to require Sun to perform an interim goodwill impairment analysis as of September 28, 2008. Sun has not yet completed this analysis. The Company has concluded, however, that an impairment loss can be reasonably estimated.  Accordingly, the Company has recorded a $1.445 billion non-cash goodwill impairment charge during the first quarter of fiscal 2009. Sun expects to report revenues for the first quarter of fiscal 2009 in the range of $2.950 to $3.050 billion, as compared with $3.219 billion for the first quarter of fiscal 2008.  Total gross margin as a percent of revenues for the first quarter of fiscal 2009 is expected to be in the range of 39 to 41 percent.

Sun anticipates reporting GAAP net loss per share, before the impact of the potential goodwill impairment charge discussed below, for the first quarter of fiscal 2009 in the range of $(0.25) to $(0.35). GAAP net loss per share includes a restructuring charge of approximately $60 million pursuant to the restructuring announced on August 1, 2008.  On a non-GAAP basis, Sun expects to report net loss per share in the range of $(0.02) to $(0.12).  Non-GAAP net loss per share excludes  amortization of acquisition-related intangibles, stock-based compensation, restructuring and related impairment of long-lived assets (including the potential goodwill impairment charge discussed below), net gain or loss on equity investments and the tax effect of these non-GAAP adjustments. 

Based on a combination of factors, including the current economic environment, Sun&#039;s operating results, and a sustained decline in Sun&#039;s market valuation, the Company has concluded that it is likely that the fair value of one or more of its reporting units has been reduced below its carrying value.  As a result, Sun is currently conducting an interim goodwill impairment analysis to determine the required amount of the non-cash impairment charge, if any.  As of September 28, 2008, prior to the impact of this potential non-cash impairment charge, Sun&#039;s total goodwill balance was $3.2 billion of which $1.8 billion relates to reporting units that may be impaired.

SANTA CLARA, Calif. - August 1, 2008 - Sun Microsystems, Inc. (NASDAQ: JAVA) reported results today for its full fiscal year and fourth quarter, which ended June 30, 2008.

For the full fiscal year, Sun reported revenues of $13.880 billion, an increase of 0.1 percent over fiscal year 2007. Revenues for the fourth quarter of fiscal 2008 were $3.780 billion, a decrease of 1.4 percent from $3.835 in the fourth quarter of fiscal 2007.  Total gross margin as a percent of revenues for the full fiscal year was 46.5 percent, an increase of 1.3 percentage points over fiscal year 2007.  Gross margin for the fourth quarter of fiscal 2008 was 44.3 percent, a decrease of 2.9 percentage points from the fourth quarter of fiscal 2007. 

Net income on a GAAP basis for the full fiscal year was $403 million, or $0.49 per share on a diluted basis, as compared with net income of $473 million, or $0.52 per share on a diluted basis, for fiscal year 2007. Net income for the fourth quarter of fiscal 2008 was $88 million, or $0.11 per share on a diluted basis, as compared with net income of $329 million, or $0.36 per share on a diluted basis, for the fourth quarter of fiscal 2007. 

Non-GAAP net income for the full fiscal year was $1.101 billion, or $1.34 per share on a diluted basis, as compared with non-GAAP net income of $1.003 billion, or $1.11 per share on a diluted basis, for fiscal year 2007. Non-GAAP net income for the fourth quarter of fiscal 2008 was $275 million, or $0.35 per share on a diluted basis, as compared with non-GAAP net income of $458 million, or $0.50 per share on a diluted basis, for the fourth quarter of fiscal 2007. Non-GAAP net income excludes purchased-in-process research and development, amortization of acquisition related intangibles, stock-based compensation, restructuring and related impairment of long-lived assets, net gain or loss on equity investments, settlement income and the tax effect of these non-GAAP adjustments. 

Cash generated from operations for the full fiscal year was $1.3 billion, and the cash and marketable debt securities balance at the end of the year was approximately $3.3 billion.

Full Fiscal Year &amp; Fourth Quarter 2008 Highlights:

On an annual  basis, Sun improved gross margins by 1.3 percentage points, decreased total R&amp;D and SG&amp;A expenses by $70 million, improved non-GAAP net income per share on a diluted basis by 21 percent and increased cash flow from operations by $371 million.
Sun reported double-digit annual revenue growth in key international markets including Brazil, India, Russia and Greater China. 
Global demand for MySQL continued to accelerate, with billings growth in the fourth quarter of over 44 percent  year-over-year.   
Sun&#039;s energy-efficient, Solaris-based Chip Multi-Threading (CMT) systems delivered 61 percent year-over-year billings growth in Q4, and for fiscal year 2008 was a $1.1 billion dollar business for Sun.
ZFS, the foundation of Sun&#039;s Open Storage product line, saw increased adoption across the globe during the quarter, and along with the Sun Fire x4500 server - the world&#039;s first hybrid server/storage data server - helped customers reduce costs through the use of open source software on industry standard systems.

During the fourth quarter, Sun continued to leverage its cash position, spending $464 million to repurchase 35.7 million shares of its common stock. SANTA CLARA, Calif. - May 1, 2008 - Sun Microsystems, Inc. (NASDAQ: JAVA) reported results today for its fiscal third quarter, which ended March 30, 2008.
<br /><br />
Revenues for the third quarter of fiscal 2008 were $3.266 billion, a decrease of 0.5 percent as compared with $3.283 billion for the third quarter of fiscal 2007. Total gross margin as a percent of revenues was 44.9, an increase of 0.4 percentage points, as compared with the third quarter of fiscal 2007.
<br /><br />
Net loss for the third quarter of fiscal 2008 on a GAAP basis was $34 million, or ($0.04) per share, as compared with net income of $67 million, or $0.07 per share, for the third quarter of fiscal 2007. In the third quarter of fiscal 2008, the company recorded a $52 million dollar tax provision, as compared to a tax benefit of $3 million in the third quarter of fiscal 2007. Net loss for the third quarter included charges related to the acquisition of MySQL, which reduced earnings per share by approximately $0.04.

Cash generated from operations for the third quarter of fiscal 2008 was $329 million, and the cash and marketable debt securities balance at the end of the quarter was $3.801 billion. During the third quarter, Sun continued to leverage its cash position, spending $300 million to repurchase 17.5 million shares of its common stock. There is currently $500 million remaining of the $3 billion share repurchase program announced in the company&#039;s fiscal fourth quarter of 2007.

Revenues for the second quarter of fiscal 2008 were $3.615 billion, an increase of approximately 1.4 percent as compared with $3.566 billion for the second quarter of fiscal 2007. Total gross margin as a percent of revenues was 48.5, an increase of 3.5 percentage points, as compared with the second quarter of fiscal 2007.

Net income for the second quarter of fiscal 2008 on a GAAP basis was $260 million, or $0.31 per share<sup class="small">(1)</sup>, as compared with a net income of $133 million, or $0.15 per share, for the second quarter of fiscal 2007.  GAAP net income for the second quarter of fiscal 2008 included a $32 million restructuring charge.

Cash generated from operations for the second quarter of fiscal 2008 was $336 million, and the cash and marketable debt securities balance at the end of the quarter was $4.677 billion.<br /><br />
