Who is SeeBeyond?
A:
SeeBeyond was founded in 1989. They are a provider of business integration software and services, recognized by industry analysts as having a leading technology position.

Before the acquisition, Sun and SeeBeyond established a Joint Marketing and Development Agreement in October 2004 and worked together on many joint customers who are in production with the joint solutions. The SeeBeyond ICAN Suite provides Industry leading integration, and a visionary Service Oriented Architecture backed by an experienced sales, services and support team.

Q:
Why is Sun acquiring SeeBeyond?
A:
Together, Sun and SeeBeyond deliver the industry's most powerful platform for developing, deploying and managing enterprise software applications, SOA applications and Composite Applications. Sun believes the combination of Sun's Java Enterprise System and the SeeBeyond ICAN Suite can grow faster together than they can separately.

Q:
What do Sun and SeeBeyond have in common?
A:
Both companies have had a strong working relationship since they formed a joint development and marketing agreement in October 2004. Both companies believe in competing on innovation and both companies are built around open standards. For example: both agree on the importance of the Java platform, JEE, JSR 208, JMS, JCA, XML, SOAP, BPEL, and JSR 168 as the core of our platforms.

Q:
How does SeeBeyond fit with Sun's SOA strategy?
A:
Very well. Sun and SeeBeyond have already conduced joint customer SOA seminars around Sun's practical approach to SOA worldwide. The Sun and SeeBeyond visions and product lines fit perfectly. SeeBeyond is already working with Sun on joint SOA solutions and deeper integration with Java Enterprise System (Java ES). Both Sun and SeeBeyond share a vision of a "Pragmatic SOA" -- which focuses on SOA projects that can be implemented right now, and is already proven with joint customers.

Q:
Do Sun and SeeBeyond have any existing joint customers using the Java Enterprise System and the SeeBeyond ICAN Suite?
A:
Yes, in fact Sun and SeeBeyond are already working together on one of the largest integration project in the world, the United Kingdom National Health Service (NHS). Some other customers using both Java ES and SeeBeyond include Blue Cross Blue Shield of Massachusetts, General Motors and RouteOne. Additionally, while SeeBeyond supports a broad range of platforms, a significant share of the install base (more that 25%) runs on the Sun Solaris Operating System.

Q:
When will a roadmap for the joint product set be published?
A:
We plan to publish it within 90 days of the close of the acquisition. Note that the Sun Java Enterprise System and SeeBeyond ICAN Suite are very complementary, and given the integration work already done, it is possible today to build joint customer solutions based on the joint product lines. Customers such as GM, RouteOne and Blue Cross Blue Shield of Massachusetts are using the combined offering today to provide the foundation for their enterprise application infrastructure.

Q:
What will happen with SeeBeyond ICAN product releases?
A:
Effective immediately, the SeeBeyond ICAN Suite will be re-branded and sold as the "Sun Java Integration Suite" and sold as the sixth Java ES Suite. Sun intends to ship SeeBeyond's ICAN 5.1 release in Q1 CY06 under the new Sun branding on time and as scheduled by SeeBeyond.

Q:
Will the Sun Java Integration Suite (ICAN) support Solaris 10 and Opteron x64 systems?
A:
Yes. The next Java Integration Suite release (formerly known as ICAN 5.1) will support the Solaris 10 Operating System on both SPARC and x86 architectures.

Q:
Will Sun continue its efforts to develop the Java Business Integration technology and products that implement it?
A:
Yes. The acquisition of SeeBeyond has helped Sun accelerate their support for JBI. Sun considers JBI extremely valuable to customers and strategically important to Sun.

Q:
Will the brand SeeBeyond and/or ICAN remain?
A:
The SeeBeyond ICAN 5.x Suite will be rebranded as the "Sun Java Integration Suite" and sold as the sixth Java ES Suite, available immediately.

Q:
How will the product be priced?
A:
Sun will quote both perpetual license pricing and subscription pricing for the Sun Java Integration Suite, immediately. Under perpetual licensing terms, customers pay a one time fee to acquire theproduct and are granted a permanent license to use the product, generally without any time limit. A perpetual license generally does not include rights to product updates of any kind, e.g. bug fixes, patches, service packs, upgrade releases, etc.

Q:
Does purchasing the Java ES at the existing price automatically entitle one to the SeeBeyond ICAN suite?
A:
No, SeeBeyond ICAN Suite is not included in the price of the full Java Enterprise System.

Q:
What does this mean for SeeBeyond's SI partners?
A:
They should expect a more vibrant partnership. Sun plans to grow SeeBeyond's excellent relationships with Systems Integrators. As we jointly develop more repeatable customer solutions, we also expect a deeper relationship with the SI community.

What does this mean for Sun's Java Developer community?
A:
The acquisition of SeeBeyond will speed up Sun's product delivery in the space and result in customer SOA-based solutions quicker. We expect to see the Sun developer community grow as a result of this. We also expect to see the Java developer community grow as a whole due to the ease of use leadership SeeBeyond brings to software development.

Q:
If I am a customer with a current SeeBeyond support contract who do I contact?
A:
SeeBeyond's current customer facing organization, including Sales, Services and Support, will remain intact, and as a result, most SeeBeyond customers and partners will continue to deal with the same points of contact. In addition, technical support will remain unchanged for the time being to ensure continuity. Please continue to use the current SeeBeyond support numbers and on-line support procedures going forward. In addition, if you are an existing Sun customer you will now be able to access SeeBeyond support through the Sun Customer Contact Center.

How do I continue to purchase SeeBeyond products and services?
A:
SeeBeyond's current customer facing organization, including Sales, Services and Support, will remain intact, and as a result, most of you will continue to deal with the same points of contact. If you are a SeeBeyond customer you can continue to purchase the products and support the way you do today - from your authorized SeeBeyond representative or SeeBeyond partner. If you are currently a Sun Customer, please contact your current Sun representative.

Q:
On what platforms will Sun support SeeBeyond products?
A:
Sun will continue to support the complete existing SeeBeyond ICAN Suite on all its currently supported platforms. This includes Operating Systems, Application Servers, (Including Weblogic and Websphere), Enterprise Connectors and Databases. In addition, Sun will continue support of all pre-ICAN SeeBeyond products, including SRE and TRE on all of their currently supported platforms. The current platforms are: Sun Solaris Operating System, Microsoft Windows XP and 2003, HP-UX, IBM AIX, Red Hat Linux, SuSe Linux, ZOS, HP Tru64, HP NonStop, WebSphere Application Server and WebLogic Application Server. The next product release will support Solaris 10 OS (SPARC and x64), the Sun Application Server, and JBOSS.

Q:
What is Sun's strategy for JBI, in the context of the SeeBeyond acquisition?
A:
Sun led the JBI 1.0 specification that received final approval on June 21st, 2005. JBI is the open standards based foundation for delivering composite applications in a SOA. Sun intends to deliver to market a JBI compatible product within 12 months of the finalization of the specification. In addition,we plan to publish a roadmap will within 90 days after the close of the acquisition to reflect the synergy between ICAN and JBI.
